PLANTD BUSINESS SUBSCRIPTION


This Business Subscription Agreement ("Agreement") governs the business tree‑planting subscription program (the “Program”) offered by Plantd Life Inc. ("Plantd") to eligible business customers (“Subscriber”). Plantd and Subscriber may be collectively referred to as the “Parties.”


By enrolling in the Program (including by confirming enrollment over the phone or by completing an online signup or payment form), you agree to these Terms.


1. PROGRAM OVERVIEW. The Program is a month‑to‑month subscription under which Plantd arranges for trees to be planted on your behalf and provides you with access to an online portal, impact reporting, and marketing assets that showcase your participation. For each month that your subscription is active and paid, Plantd will allocate a specified number of trees to be planted in reforestation projects and will associate those trees with your business in our systems and on your impact page.


2. SUBSCRIPTION, FEES, AND BILLING. The Program is offered for a recurring fee of $49.99 per month per subscribed account (or such other fee as Plantd may communicate to you in writing at the time of enrollment). Your subscription begins on the date you first enroll in the Program (“Subscription Start Date”). Your payment method will be charged the monthly fee on the Subscription Start Date and on or about the same date each calendar month thereafter, until your subscription is canceled in accordance with these Terms.


Plantd currently accepts payment by credit card, direct bank connection, and other supported payment methods (which may include Apple Pay and Google Pay, depending on availability). You authorize Plantd and its payment processors to charge your designated payment method for all amounts due under the Program on a recurring basis until you cancel. If a payment attempt fails, Plantd may retry the charge, ask you to update your payment method, or suspend or cancel your subscription. You remain responsible for any unpaid amounts.


3. TERM AND CANCELLATION. The Program is offered on a month‑to‑month basis with no minimum commitment. You may cancel your subscription at any time through your online Plantd portal account or by contacting Plantd support using the contact information provided in your account or enrollment materials. If you cancel, your subscription will remain active through the end of your then‑current billing period, and you will not be charged for subsequent billing periods.


Because trees for each billing period are allocated for planting when the billing cycle begins, Plantd does not provide partial refunds or credits for unused portions of a billing period once the monthly charge has been processed.


Plantd may suspend or terminate your subscription (with reasonable notice where practicable) if you fail to pay amounts due, misuse Plantd’s assets or branding, or otherwise violate these Terms. If Plantd terminates your subscription for its convenience, we will generally allow your subscription to run through the end of the current billing period or, at our discretion, provide a prorated refund for any prepaid amounts for future billing periods.


4. TREE ALLOCATION AND PLANTING. At signup, Plantd will allocate an initial 25 “welcome” trees to be planted on your behalf at no additional charge, in addition to the 25 trees associated with your first paid subscription month.


For each subsequent active subscription month, Plantd will allocate 25 trees per month to be planted on your behalf. The specific planting projects, locations, and planting partners used may change over time. Currently, Plantd allocates trees to a limited number of reforestation projects and uses third‑party planting partners to execute the planting work, but Plantd may add, remove, or change projects and partners from time to time.


Planting activities for a given subscription month may occur over a period of time and are not guaranteed to occur within any fixed number of days of your billing date. Plantd will use commercially reasonable efforts to ensure that the total number of trees associated with your subscription are allocated for planting and reported to you through your portal and impact page.

5. SUBSCRIBER BENEFITS. As an active Program Subscriber in good standing, you will receive:


  • • Allocation of 25 initial welcome trees at signup and 25 trees per active subscription month as described above.
  • • Access to an online portal where you can manage your profile, view your subscription information, review past charges, manage your payment methods, and access marketing assets.
  • • A dedicated impact page associated with your business that shows your cumulative tree allocations and related impact information and that you may link from your website or other channels.
  • • Downloadable materials, which may include a certificate of participation, a digital badge, and social media or marketing graphics.
  • • Periodic impact communications, such as monthly impact emails summarizing your participation and an annual summary of your tree allocations.

Plantd may, from time to time, update or modify the portal, impact page design, available assets, and communications (including adding, changing, or discontinuing specific features or content), provided that such changes do not materially reduce the core benefit of receiving tree allocations and access to basic impact information for your active subscription.


6. PORTAL AND IMPACT PAGE. Your portal credentials are personal to your business and may only be used by your authorized personnel. You are responsible for maintaining the confidentiality of your login information and for all activity under your account.


Your impact page is intended to be publicly shareable and may be discoverable via links from Plantd’s websites or marketing materials. Plantd may update the layout, design, and content of impact pages over time, and may correct errors, update metrics, or remove content that is inaccurate, outdated, or inconsistent with these Terms.


Plantd may also display your business name and logo on its website or in marketing materials to identify you as a Program participant, unless you request otherwise in writing. You represent that you have the authority to grant Plantd the right to use your business name and logo for this purpose.


7. USE OF MARKETING ASSETS AND PLANTD BRAND. Plantd grants you a limited, non‑exclusive, non‑transferable, revocable license, during your active subscription, to use Plantd‑provided badges, certificates, graphics, and similar assets (the “Assets”) solely to promote your participation in the Program and your tree‑planting initiatives.


You agree not to modify the Assets in a way that alters Plantd’s branding, misrepresents the nature of the Program, or suggests sponsorships or endorsements that do not exist. You also agree not to make claims about environmental or climate impact that go beyond the statements and metrics Plantd provides (for example, claims about being “carbon neutral” or “net zero”) unless Plantd has explicitly approved such claims in writing for your use.


Plantd may update or replace Assets over time, and may request that you stop using any Asset that is outdated or inconsistent with current branding or messaging. Upon cancellation of your subscription or upon Plantd’s written request, you will stop using the Assets and remove them from your public materials within a reasonable period.


8. ENVIRONMENTAL AND IMPACT CLAIMS. Plantd’s Program is focused on tree planting and supporting reforestation. Program messaging may describe, for example, that your subscription supports the planting of 25 trees per month and contributes to reforestation projects in certain regions.


Plantd does not presently make “carbon neutral,” “net zero,” or similar climate‑related claims for the Program. Any environmental or impact metrics (such as total trees allocated, estimated CO₂ benefits, or related statistics) that appear in the portal, impact page, or Plantd materials are based on information from Plantd and/or its planting partners and may be estimates or modeled values. Actual environmental outcomes can vary based on factors such as tree survival rates, local conditions, and project‑specific practices.


You agree to use only those environmental statements and metrics about the Program that Plantd provides or approves, and to present them in a way that is not misleading or inconsistent with the context provided by Plantd.


9. ONE‑TIME PURCHASES. The portal may allow you to purchase additional trees on a one‑time basis separate from your monthly subscription. Any such one‑time purchases will be clearly labeled, and applicable pricing and terms will be displayed at the time of purchase. Unless otherwise stated, one‑time purchases are non‑refundable once processed, and the same general planting and reporting principles described in these Terms will apply.


10. SUBSCRIBER RESPONSIBILITIES. You are responsible for:


  • • Ensuring that someone with authority to bind your business enrolls in the Program and authorizes recurring charges.
  • • Providing accurate and up‑to‑date account, contact, and billing information, and promptly updating your payment method as needed.
  • • Using Plantd’s portal, impact page, and Assets in compliance with these Terms and all applicable laws, including advertising and consumer‑protection laws.
  • • Ensuring that any public statements you make about your participation in the Program and associated environmental impact are consistent with the information Plantd provides.

You will not use the portal, impact page, or Assets in any manner that is unlawful, fraudulent, or that could harm Plantd’s reputation.


11. INTELLECTUAL PROPERTY. All rights, title, and interest in and to the Program, the portal, the impact pages, Plantd’s websites, the Assets, and related content and materials (excluding your business name and logo) are owned by Plantd or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no other rights are granted or implied.


12. DISCLAIMERS AND LIMITATION OF LIABILITY. To the extent permitted by applicable law, the Program, the portal, the impact pages, and all related materials are provided “as is” and “as available,” and Plantd disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non‑infringement.


While Plantd intends to allocate trees and support reforestation as described, Plantd does not guarantee specific environmental outcomes or long‑term survival of any particular tree, and is not responsible for delays or failures in planting or reporting caused by factors outside its reasonable control (such as natural disasters, political instability, or actions by planting partners).


To the fullest extent permitted by law, Plantd’s total liability arising out of or relating to the Program or these Terms will not exceed the total amount of fees you paid to Plantd for the Program in the twelve (12) months preceding the event giving rise to the claim. Plantd will not be liable for any indirect, incidental, consequential, special, or punitive damages, or for lost profits or reputational harm, even if advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability; in such cases, these limitations will apply only to the extent permitted by law.


13. CHANGES TO THE PROGRAM OR TERMS. Plantd may update the Program or these Terms from time to time. If we make material changes that affect your subscription, we will provide notice (for example, by email or via the portal) and, where required by law, will obtain your consent to any changes that materially affect pricing or your rights.


If you do not agree to updated Terms, you may cancel your subscription. Continued participation in the Program after changes become effective constitutes your acceptance of the updated Terms.


14. GOVERNING LAW AND DISPUTES. These Terms and any dispute arising out of or relating to the Program will be governed by the laws of New Jersey, without regard to its conflict‑of‑laws principles, and the parties agree to the exclusive jurisdiction of New Jersey to resolve any disputes. Any disputes arising under this Agreement shall first be resolved through mediation. If mediation fails, disputes shall be settled by arbitration in the State of New Jersey.
